The token can be a share. It cannot be the deed.
Independent research, as of 2026-09-01. One structure is legally operational in the United States. The other is a dual ledger against the county Official Records. SSDF sells the protocol for the first. SSDF does not mint the second.

Tokenized equity
Tokenized equity is the working US model. An LLC or SPV holds title. Tokens represent membership or stock in that entity. The county records the deed to the entity. The token is usually a security under Howey: money in a common enterprise, profits from the efforts of others. Typical path is Reg D 506(b) or 506(c), sometimes Reg A+ or Reg S. ERC-3643 can be the permissioned transfer layer. It is not the deed.
Not a US deed
Tokenized title
Tokenized title — the token itself as US real-property title — is not recognized. Odinet & Tosato (Oxford OBLB, 20 Oct 2025; ABA Probate & Property, Mar/Apr 2026): private parties cannot invent a new estate in land (numerus clausus); conveyances still need a writing that satisfies the Statute of Frauds; land is not a bearer instrument; a chain next to the Official Records is a dual ledger, and the later recorded buyer can win.
The dual ledger, in one line
UCC Article 12 governs controllable electronic records. Real property interests sit outside that framework. A blockchain record of land creates a dual-ledger problem against the county Official Records. Numerus clausus and the Statute of Frauds still govern conveyances. SSDF does not sell tokenized Florida title.

What 2025 headlines do not tokenize
The GENIUS Act (Pub. L. 119-27, 18 July 2025) regulates payment stablecoins. The DTC no-action letter (11 Dec 2025) covers tokenized entitlements to Russell 1000 names, major ETFs, and Treasuries for a three-year pilot from H2 2026 — not land. Foreign land-registry pilots (Dubai DLD, Saudi title-deed experiments) do not rewrite Florida Official Records.
Florida
Florida e-records instruments under URPERA (Fla. Stat. §695.27). Protected Series LLCs exist as of 1 July 2026 (Fla. Stat. §§605.2101–605.2802). A series can wall off a parcel inside one LLC. That is still an entity holding title. It is not a token-as-deed.
The market, independently checked
rwa.xyz, 1 Sep 2026: $38.66B distributed RWA / $264.86B represented. Tokenized real estate is $226.44M distributed / $279.85M represented — about half a percent of distributed RWA, 105 assets, ~3,004 holders. Treasuries and private credit dominate. Tokeny claims $28–32bn through ERC-3643; that is issuer-claimed, not the rwa.xyz real-estate figure.

What this store actually sells
SSDF sells the protocol and a Passport over a structure packet. SSDF does not issue the token, does not file Form D, does not act as a broker-dealer, and does not convey land.
